We provide a full suite of website-related services, handling all your website needs. This includes:

• Website development and design
• Website hosting

• Database management
• Development revisions as mutually agreed upon
• A website refresh service once per month, if requested by the Client
• A limited amount of custom development work, provided at our discretion, to enhance your website's functionality
• Additional development work beyond the scope of the initial agreement, which can be negotiated and quoted per project requirements

Online Presence Enhancement Services

We work to ensure your business has a robust and active online presence. This includes:

• Proper claiming and optimization of your business listing on Google Maps
• Establishment and optimization of a social media presence on agreed-upon platforms
• Ensuring all relevant business links are accurately set up and consistent across various online platforms
• Assistance with developing and maintaining a content schedule to keep your online presence active and engaging

AI Receptionist Services

Our AI Receptionist service is designed to handle your incoming calls and manage lead collection. This service includes:

• Redirecting missed calls from your customers to an AI receptionist
• The AI receptionist will handle incoming calls, answer frequently asked questions as needed, and collect necessary information from your potential customers
• Automatically sending call information and collected lead data back to you (the Client) via email and/or text message

2. Client Responsibilities

As a Client of Silver Arrow Web LLC, you agree to:

• Provide accurate, current, and complete information as required for the provision of the Services
• Cooperate fully with Silver Arrow Web LLC in the execution of the Services, including providing timely feedback, content, and approvals
• Ensure that all content, data, and materials you provide for use in the Services comply with all applicable laws and do not infringe on any third-party rights, including intellectual property rights, privacy rights, or publicity rights
• Maintain the confidentiality of any login credentials or access information provided to you by Silver Arrow Web LLC
• Comply with all applicable laws and regulations in your use of the Services, including those related to privacy, data protection, and electronic communications

3. Payment Terms

• Payment Processor: All payments for our Services will be securely processed through Stripe, Inc. You agree to abide by Stripe's terms and conditions
• Upfront Setup Fee: An upfront setup fee, as detailed in your specific service agreement or proposal, is required before any work on your project commences
• Monthly Recurring Charges: Following the initial setup, you agree to monthly recurring charges for the ongoing Services
• No Other Payment Systems: Silver Arrow Web LLC exclusively uses Stripe for all payment collection
• Late Payments: Payments not received by the due date may incur a late fee on the outstanding balance
• Taxes: All fees are exclusive of any applicable taxes, duties, or other governmental charges, which will be your responsibility

4. Intellectual Property

Client Content

You retain all ownership rights to any text, images, videos, audio, or other content that you provide to Silver Arrow Web LLC for use in the Services. You grant Silver Arrow Web LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, display, and distribute the Client Content solely for the purpose of providing the Services to you.

Silver Arrow Web LLC IP

All intellectual property rights in the methodologies, tools, software, designs (excluding Client Content), code, and other materials developed or used by Silver Arrow Web LLC in providing the Services remain the exclusive property of Silver Arrow Web LLC.

Third-Party IP

Certain Services may incorporate third-party intellectual property. Your use of such third-party IP is subject to the terms of the respective third-party licenses.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed by the other party during the course of their engagement. This includes, but is not limited to, business plans, trade secrets, customer lists, pricing strategies, and technical specifications. This obligation of confidentiality will survive the termination of these Terms.

6. Disclaimers and Limitation of Liability

Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. Silver Arrow Web LLC makes no warranties, express or implied, regarding the Services, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Silver Arrow Web LLC, its officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses.

Maximum Liability

In no event shall the aggregate liability of Silver Arrow Web LLC exceed the total amount paid by you to Silver Arrow Web LLC for the specific Services giving rise to the claim during the six (6) months immediately preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Silver Arrow Web LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees arising out of or relating to: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party, including intellectual property rights or privacy rights; (d) any Client Content or other content that is submitted via your account.

8. Termination

Termination by Client

You may terminate your use of specific Services by providing written notice to Silver Arrow Web LLC, subject to the terms of your individual service agreement, which may include cancellation fees or notice periods.

Termination by Silver Arrow Web LLC

We may suspend or terminate your access to or use of all or part of the Services at any time, with or without cause, with or without notice, effective immediately, for reasons including, but not limited to, your breach of these Terms, non-payment, or any activity that may harm Silver Arrow Web LLC or others.

Effect of Termination

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination shall remain in full force and effect.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

10. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Franklin County, Ohio.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

12. Miscellaneous

• Entire Agreement: These Terms, together with any applicable service agreements or proposals, constitute the entire agreement between you and Silver Arrow Web LLC regarding the Services
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable
• Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction

13. SMS/Text Messaging Program

13.1 SMS Program Description

Our SMS program provides text messages for appointment reminders, event notifications, receipts, customer service, and, if you opt in, occasional promotional messages. Message frequency varies depending on your interaction with our Services.

13.2 Opting Out

You may cancel the SMS service at any time by texting "STOP". After we confirm your unsubscribe status via SMS, you will no longer receive SMS messages from us. To re‑join, sign up as you did initially or text "START" to resume messages.

13.3 Help and Support

If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance or contact us using the details below.

13.4 Carrier Liability

Wireless carriers are not liable for delayed or undelivered messages.

13.5 Message and Data Rates

Message and data rates may apply for messages sent to you from us and from you to us. Message frequency varies. For questions about your text or data plan, contact your wireless provider.

13.6 Recurring Messages Disclosure

By opting in to our SMS program, you authorize us to send recurring text messages to the mobile phone number you provide. You are not required to agree to receive recurring messages as a condition of purchasing any goods or services.

13.7 Prohibited Content

Our SMS messages will never contain phishing attempts, smishing, social‑engineering requests, illegal content, or SHAFT content (sex, hate, alcohol, firearms, tobacco) that violates federal or state laws or regulations.

13.8 SMS Opt‑In Data Protection

All text‑message originator opt‑in data and consent information will not be shared with any third parties, excluding aggregators and providers of the text‑message services necessary to deliver the SMS service.
